These Terms of Service (these “Terms”) govern your access to and use of Litemint website, marketplace, mobile app, and any Litemint product owned and operated by Litemint LLC, d.b.a. (“Litemint,” “we,” “us” or “our”) that enables you to access, create, purchase, sell, list, modify, or exchange products and digital assets, collect and use collectible items, or play online games (collectively, the “Service”). By utilizing the Service, you accept these Terms. Litemint may update these Terms at any time and will notify you of such changes by updating the Last Updated date. Please check this page frequently. By continuing to use the Service after the changes become effective, you agree to the new terms. If you do not agree to the new terms, you must cease use of the Service.

The Service is noncustodial i.e., Crypto Assets (as defined below) are not held on your behalf by Us and all transactions are signed by you and executed on the SDEX (as defined below) without Us as a party. We do not hold, store, or take custody of any Crypto Assets, or private keys.

By utilizing the Service, you also agree and acknowledge that you are solely responsible for the secure storage of Crypto Assets, and related private keys in your possession. You agree that in no event will Litemint be liable for the security or control of any Crypto Assets or related private keys or any breach of such security.

Transactions initiated through our Service are facilitated and run by third-party electronic wallets, and by using our Services you agree that you are governed by the terms of service and privacy policy for the applicable wallet.

The Service is an administrative platform only. Litemint is not a party to any agreement between the buyer and Publishers or between any users. Terms of use, licenses, copyrights, and other applicable terms that apply to your acquisition and use of Publishers Crypto Assets are governed by separate terms between you and Publishers (“Publishers Terms”).

Privacy and Data Protection

Please refer to our Privacy Policy for information about how we collect, use and share personal information about you.

Definitions

“Crypto Assets” refers to the native Stellar Lumens or any fractionable, non-fractionable, limited or illimited supply or unique non-fungible tokens, issued on the Stellar blockchain (“Stellar”) or implemented using smart contracts.

“SDEX” refers to the Stellar Native Decentralized Exchange allowing you to transfer, bid, offer, buy, and sell Crypto Assets on the Stellar blockchain (collectively, the “SDEX”).

“Publishers” refers to third-party individuals or organizations who publish Crypto Assets using the SDEX.

“Content” refers to any information, text, links, graphics, photos, audio, videos, or other materials or arrangements of materials uploaded, downloaded, or appearing on the Service.

Accessing the Service

You may only participate in SDEX activities by linking your digital wallets on supported bridge extensions which allows you to purchase, store, and engage in transactions on the SDEX.

You bear full responsibility for verifying the identity, legitimacy, and authenticity of assets you purchase on Litemint. Notwithstanding indicators and messages that suggest verification, Litemint makes no claims and disclaims any reliance by You on Us about the identity, legitimacy, or authenticity of assets listed on the platform.

The Services are provided, as-is, where-is with all faults. We may modify or discontinue, temporarily or permanently, the Service or any part thereof without prior notice. You agree that We will not be liable for any modification, suspension, or discontinuance of the Service or any part thereof.

You may access and use the Service for your personal and business purposes. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any data or information from the Service absent Litemint permission. Litemint reserves all rights to the Service not expressly granted by Litemint; Litemint and Publishers (as applicable) reserve all rights not expressly granted, whether by implication, estoppel, or otherwise.

You do not need a Litemint account to access and browse the Service. However, you may need a Litemint account to access some Service features. You are solely responsible for the security of your account.

You may not:

• use the Service for the purpose of raising funds for financing illegal activities and any organization listed on https://www.state.gov/foreign-terrorist-organizations;
• create or list illegal content, such as content that depict children under the age of 18 in a sexually suggestive manner, or content that promote violence against or directly attack or threaten other people based on race, ethnicity, national origin, caste, sexual orientation, gender, gender identity, religious affiliation, age, disability, or serious disease;
• use hateful images, text or symbols in your username, display name, profile or background images and in any Crypto Asset available through your account and wallets;
• use your username, display name, to engage in abusive behavior, such as targeted harassment or expressing hate towards a person, group, or protected category;
• use profanity or graphic language in any content you add, or create on Litemint;
• circumvent or bypass any technological protection measures in or relating to the Service or Crypto Assets;
• disassemble, decompile, decrypt, hack, emulate, exploit, or reverse engineer any software or other aspect of the Service, except and only to the extent that applicable copyright law expressly permits doing so;
• publish, copy, rent, lease, sell, export, import, distribute, or lend the Service; and
• enable access to the Service by unauthorized third-party applications or otherwise in a manner intended to avoid incurring fees, obtain an unfair advantage in games (e.g. bots and scripts) or to circumvent usage limits or quotas.

Any infringements of the above points will result in an immediate and permanent ban of your account across the Service.

You may create and upload Crypto Assets containing NSFW content however we will flag such content as NSFW and we will keep it away from any public display including lists, collections, searches, features, and public profiles. The only way to access NSFW content is through a direct link to the specific Content item.

Creating or uploading overtly sexual or extreme content will result in an immediate and permanent ban of your account.

Eligibility

By using the Service, you represent and warrant that you:

• are 13 years of age or older; If you are under 18, you may use a parent or guardian's Litemint account, but only with involvement of the account holder. However, the account holder is responsible for everything done with that account;
• are not barred to use the Service under any applicable law;
• are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services, including but not limited to Syria, Sudan, Crimea, North Korea, Iran, or Cuba;
• are not identified as a “Specially Designated National” by the U.S. Department of the Treasury Office of Foreign Assets Control (“OFAC”) or placed on the U.S. Department of Commerce’s Denied Persons List;
• are either (a) using the Service only for your own personal use or (b) using the Service for another entity with authorization from such entity, and you have authority to agree to and do agree to these Terms of Service on behalf of such entity; and
• will comply with these Terms of Service and all applicable local, state, national, and international laws, rules, and regulations in your usage of the Service.

If you do not meet all these requirements, you must not access or use the Service.

Account Verification

The Verified badge on Litemint lets people know that an account is authentic. You will need to confirm your identity with Litemint to be Verified to encourage and maintain trust between users on the platform. We reserve the right to reject your request at our sole discretion and Litemint may remove your Verified badge at any time and without notice. Publishers Terms

• Litemint is not a party to and is not bound by any Publishers Terms. You are responsible for your dealings with Publishers;
• Publishers Terms do not modify any of these Terms. You should review the Publishers Terms (including privacy terms). Litemint does not license any intellectual property to you as part of any Publishers listing or offering and is not responsible or liable to you or others for information or services provided by Publishers;
• You are responsible for confirming support obligations for Publishers. Litemint is not responsible or liable in any way for supporting Publishers Content.

Notices and Procedure for Making Claims of Intellectual Property Infringement

We respect the intellectual property rights of others. If you wish to send a notice of intellectual property infringement, including claims of copyright infringement, please send an email to legal@Litemint.com with the following information:

• Contact Information (First Name, Last Name, Physical Address, Email Address);
• Information about your Intellectual Property (Provide as much information as possible);
• Where can the infringing material be found (URLs);
• Any supporting files you believe may help Us;

ONLY INQUIRIES RELEVANT TO THIS PROCEDURE WILL RECEIVE A RESPONSE. We use the processes set out in Title 17, United States Code, Section 512 to respond to notices of copyright infringement.

THE LINKS TO THIRD PARTY SITES WILL LET YOU LEAVE THE SERVICE. THE LINKED SITES ARE NOT UNDER THE CONTROL OF LITEMINT AND LITEMINT IS NOT RESPONSIBLE FOR THE CONTENTS OF ANY LINKED SITE OR ANY LINK CONTAINED IN A LINKED SITE, OR ANY CHANGES OR UPDATES TO SUCH SITES. LITEMINT IS NOT RESPONSIBLE FOR WEBCASTING OR ANY OTHER FORM OF TRANSMISSION RECEIVED FROM ANY LINKED SITE. LITEMINT IS PROVIDING THESE LINKS TO YOU ONLY AS A CONVENIENCE, AND THE INCLUSION OF ANY LINK DOES NOT IMPLY ENDORSEMENT BY LITEMINT OF THE SITE. THESE SITES MAY HAVE THEIR OWN TERMS OF SERVICE AND PRIVACY POLICIES DIFFERENT FROM OURS.

Your access to and use of the Service or any Content are at your own risk. You understand and agree that the Service and Conten are provided to you on an “AS IS” and “AS AVAILABLE” basis. The “Litemint Entities” refers to Litemint LLC, its parents, affiliates, related companies, officers, directors, employees, agents, representatives, partners, and licensors. Without limiting the foregoing, to the maximum extent permitted under applicable law, THE LITEMINT ENTITIES DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. The Litemint Entities make no warranty or representation and disclaim all responsibility and liability for: (i) the completeness, accuracy, availability, timeliness, security or reliability of the Service or any Content; (ii) any harm to your computer system, loss of data, or other harm that results from your access to or use of the Service or any Content; (iii) the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Service; and (iv) whether the Service will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from the Litemint Entities or through the Service, will create any warranty or representation not expressly made herein.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LITEMINT ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM THE SERVICE; OR (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE LITEMINT ENTITIES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID LITEMINT, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICE GIVING RISE TO THE CLAIM. THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT THE LITEMINT ENTITIES HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Assumption of Risk

You accept and acknowledge:

The prices of Crypto Assets are extremely volatile. Fluctuations in the price of other digital assets could materially and adversely affect the Crypto Assets, which may also be subject to significant price volatility. We cannot guarantee that any purchasers of Crypto Assets will not lose money.

Your Rights and Grant of Rights in the Content

You retain your rights to any Content you submit, post, or display on or through the Services. What’s yours is yours — you own your Content (and your incorporated audio, photos and videos are considered part of the Content).

By submitting, posting or displaying Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free (with the right to sublicense) license to use, copy, modify, and display any text, content, files, communications, comments, feedback, suggestions, ideas, concepts, questions, data or other content that you submit or post on or through the Service or through tools or applications we provide for posting or sharing such content for our lawful business purposes, including to provide, promote, and improve the Service.

You represent and warrant that you have, or have obtained, all rights, licenses, consents, permissions, power and/or authority necessary to grant the rights granted herein for any Content that you submit, post, or display on or through the Service. You agree that such Content will not contain material subject to copyright or other proprietary rights, unless you have necessary permission or are otherwise legally entitled to post the material and to grant Litemint the license described above.

You are solely responsible for your use of the Service and for any Content you provide, including compliance with applicable laws, rules, and regulations. We take no responsibility for the Content posted or listed via the Service.

You are solely responsible for determining what, if any, taxes apply to your Crypto Assets transactions. Neither Litemint nor any other Litemint Party is responsible for determining the taxes that apply to Crypto Assets transactions.

Trademarks

The trademarks, service marks, trade names, and logos (the “Trademarks”) used and displayed on this Site are registered and unregistered Trademarks of LITEMINT LLC. In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks and/or trade dress of LITEMINT LLC, and may not be copied, imitated or used, in whole or in part, without the prior written permission of LITEMINT LLC. You acknowledge that the Trademarks used and displayed on this Site are and shall remain the sole property of LITEMINT LLC or the Trademark owner.

Choice of Law and Place to Resolve Disputes

The laws of the State of Delaware govern this Agreement. If federal jurisdiction exists, you and we consent to exclusive jurisdiction and venue in the federal courts of the District of Delaware. If not, you and we consent to exclusive jurisdiction and venue in the state courts of New Castle County, Delaware.
